1. Acceptance of Terms

Welcome to PropLeads. By accessing or using our website at propleads.net (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and PropLeads, a service operated by Believe Marketing Services, a company registered and based in the United States of America ("Company," "we," "our," or "us"). By creating an account or purchasing leads, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, and our Refund Policy.

2. Service Description

PropLeads is a real estate lead generation platform that provides verified, exclusive leads to real estate professionals including:

• Real Estate Leads: Motivated seller contacts for wholesalers and investors ($150 base price per lead)
• Listing Referrals: Pre-qualified sellers ready to list for real estate agents ($300 base price per referral)

Leads are delivered based on your specified market criteria (state, county, property type, seller motivation, etc.). Additional parameters may incur extra charges as specified during the order process.

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Be a licensed real estate professional or legitimate real estate investor
• Provide accurate and complete registration information
• Have the legal authority to enter into this agreement
• Not be prohibited from using the Service under applicable laws

You represent and warrant that all information you provide is truthful and accurate. Misrepresentation may result in immediate account termination.

4. Account Registration and Security

To access our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Ordering and Payment

5.1 Order Process

When you place an order for leads:

• You submit your market criteria and parameters
• The total cost is calculated based on number of leads and selected filters
• Payment is processed immediately through our secure payment provider (Stripe)
• Your order moves to "Processing" status upon successful payment
• Leads are delivered to your dashboard as they are verified and fulfilled

5.2 Pricing

Our pricing structure is as follows:

• Real Estate Leads: $150 base price per lead
• Listing Referrals: $300 base price per referral
• Additional Filters: Certain parameters (square footage, year built, seller motivation, years of ownership) add $5 per lead

All prices are in USD and are subject to change with 30 days' notice. Price changes will not affect orders already placed.

5.3 Payment Terms

Payment is required in full at the time of order. We accept major credit cards through Stripe. By providing payment information, you:

• Authorize us to charge the total order amount to your payment method
• Represent that you have the legal right to use the payment method
• Agree to pay all applicable taxes and fees

5.4 Failed Payments

If payment fails, your order will not be processed. We reserve the right to cancel orders with failed payments.

6. Lead Delivery and Quality

6.1 Delivery Timeline

Leads are delivered on a rolling basis as they are verified. Typical delivery timeframes:

• Orders are processed within 24-48 hours of payment
• Leads are delivered as they become available
• You will receive notifications when new leads are added to your dashboard

Delivery times may vary based on market availability and order complexity. We do not guarantee specific delivery dates.

6.2 Lead Exclusivity

All leads provided are 100% exclusive to you. We guarantee that:

• Each lead is sold only once
• No other client receives the same lead
• Your purchased leads remain yours indefinitely

6.3 Lead Quality Standards

We verify all leads to ensure they meet the following standards:

• Valid, working contact information (phone numbers verified)
• Accurate property information
• Seller motivation or listing intent confirmed (where applicable)
• Match your specified market criteria

7. Refund and Rejection Policy

7.1 Summary of Refund Options

We offer flexible refund options to ensure your satisfaction:

• Full Cash Refund: 100% refund before any leads are delivered
• Lead Replacement: Free replacement for leads that don't match your criteria or contain invalid information
• Order Hold: Hold your order for up to 180 days for later use
• Credit Conversion: Convert order value to account credits (never expire)
• ACH Credit Refund: Transfer credits back to your bank account (fees apply)

7.2 Lead Rejection Process

You may reject a lead within 14 days of delivery for valid reasons including:

• Criteria mismatch (wrong state, county, property type, etc.)
• Invalid or disconnected contact information
• Duplicate lead from previous purchases
• Property already sold (verified through public records)
• Contact is not the decision maker or property owner
• Critical information missing or incorrect

To reject a lead, navigate to your Subscriptions dashboard, click "Reject Lead", select the reason, and provide detailed notes. Our team reviews rejections within 1-2 business days. Approved rejections receive replacement leads within 5-7 business days.

7.3 Invalid Rejection Reasons

The following do NOT qualify for refunds or replacements:

• Seller not interested after initial contact (motivation can change)
• Unable to reach seller after only 1-2 attempts (requires 6-8 attempts)
• Subjective assessments of motivation level
• Property condition or price doesn't match your investment criteria
• You changed your mind about your target market
• Seller is working with another agent/investor

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Resell, redistribute, or share purchased leads with third parties
• Use leads for any purpose other than real estate transactions
• Scrape, harvest, or automatically collect data from our Service
• Attempt to gain unauthorized access to our systems
• Use the Service to harass, abuse, or spam property owners
• Violate any applicable laws, including TCPA, DNC regulations, or fair housing laws
• Impersonate another person or entity
• Interfere with or disrupt the Service or servers

Violation of acceptable use may result in immediate account termination without refund.

9. Compliance with Laws

You are solely responsible for compliance with all applicable laws when using our leads, including but not limited to:

• TCPA: Telephone Consumer Protection Act (obtaining consent, honoring do-not-call lists)
• Fair Housing: Federal Fair Housing Act and state fair housing laws
• Licensing: Applicable real estate licensing requirements
• Privacy Laws: GDPR, CCPA, and other data protection regulations

We provide contact information only. You must ensure your marketing and outreach practices comply with all laws.

10. Intellectual Property

The Service and all content, features, and functionality are owned by PropLeads and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal business purposes. You may not:

• Copy, modify, or create derivative works of our content
• Reverse engineer or decompile any aspect of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use our brand name, logo, or trademarks without written permission

11. Disclaimers and Limitations

11.1 No Guaranteed Results

We provide leads for your outreach efforts. We do NOT guarantee:

• That any lead will result in a transaction or deal
• Seller response rates or engagement levels
• Property availability or current market status
• Specific financial outcomes or return on investment

11.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

11.3 Limitation of Liability

To the maximum extent permitted by law, PropLeads shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service

Our total liability shall not exceed the amount you paid for the specific leads in question, up to a maximum of $1,000.

12. Indemnification

You agree to indemnify, defend, and hold harmless PropLeads and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Your infringement of any third-party rights

13. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or harassment of property owners
• Non-payment or chargebacks

You may terminate your account at any time by contacting support. Upon termination:

• You lose access to your account and dashboard
• Previously purchased leads remain yours to use
• No refunds for unused credits or pending orders

14. Dispute Resolution

14.1 Informal Resolution

14.2 Arbitration Agreement

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court. You waive your right to a jury trial and class action lawsuits.

14.3 Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on this page with a new "Last Updated" date
• Sending email notification to your registered email address

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and PropLeads regarding the Service.

16.2 Severability

If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights without restriction.
